Welcome to Elxr (the “Website”). These Terms & Conditions (“Terms”) govern your use of our platform (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.

1. Use of Services
   1. Eligibility: You must be at least 18 years old to use the Services. By using the Services, you represent and warrant that you have the right, authority, and capacity to enter into these Terms.
   2. Account Registration: To access the Services, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account and password and for all activities that occur under your account.
   3. Subscription Services: We offer annual subscriptions that automatically renew. By purchasing a subscription, you agree to the recurring billing of the subscription fee until you cancel your subscription. You can cancel your subscription at any time through your account settings. If you cancel, your subscription will continue until the end of the current billing period.
2. Payment and Refunds
   1. Payment: The subscription fee will be billed at the beginning of the paying portion of your subscription and each year thereafter unless and until you cancel your subscription. You authorize us to charge your chosen payment method for the amounts due for your subscription.
   2. Refunds: All fees are non-refundable. However, if you experience issues with the Services, please contact our customer support team for assistance.
3. Content and Intellectual Property
   1. License: Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your personal, non-commercial use.
   2. Restrictions: You agree not to (i) reproduce, distribute, publicly display, or create derivative works of the Services; (ii) interfere with or disrupt the Services; or (iii) use the Services for any illegal or unauthorized purpose.
   3. Intellectual Property: All content available on the Services, including but not limited to text, graphics, logos, images, and software, is the property of Elxr or its licensors and is protected by intellectual property laws.
4. Third-Party Content
   The Services may include content provided by third-party creators. We do not control or endorse any third-party content and make no representations or warranties regarding such content. You agree that we are not responsible or liable for any third-party content.
5. Disclaimer of Warranties
   The Services are provided “as is” and “as available” without warranties of any kind, either express or implied. We do not warrant that the Services will be uninterrupted or error-free.
6. Limitation of Liability
   To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your use of the Services; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from the Services; or (iv) any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Services by any third party.
7. Indemnification
   You agree to indemnify, defend, and hold harmless Elxr, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.
8. Governing Law
   These Terms shall be governed by and construed in accordance with the laws of Delaware, United States, without regard to its conflict of law principles.
9. Changes to Terms
   We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.
